Disclosing financial and non-financial Information to Securities’ Issuers (Tadawul) and compliance in their deadlinesImplement all procedures related to the convening of ordinary and extraordinary general assemblies of the Company.Preparing the board annual report.Ensure that the company stays abreast with changes in laws and legal regulations.Ensuring that board members and senior executives comply with CMA regulations relating to notices of ownership or sale of shares.Facilitating the Coordination of attendance to meetings and workshops for board members and its committeesCalculating the Board member’s remunerations along with the other formed committees. Overseeing all aspects of the company’s corporate governance including reviewing and drafting of regulatory documentations and procedures and assisting in the internal awareness of all related regulationsBuild a good relationship with relevant regulators.Develop the necessary mechanisms for Board members and the Executive Management to continuously enroll in training programs and courses in order to develop their skills and knowledge in the fields related to the activities of the CompanyTo ensure that all departments, sections and branches of the company comply with the relevant regulations issued by the regulatory authorities.Avoiding risk of non-compliance, in particular regulatory risks, reputational risks and the risks of financial penalties.Communicating with shareholders to maintain the Investors RelationsImplement all procedures related to the convening of the board meetings.Implement all procedures related to the convening of the executive committee meetings.Assist in maintaining the company's core values and establishing standards of trust and integrity between the company and shareholders.Update and maintain records for Management committee meetings, including those in which confidential executive session minutes being taken, and draft an appropriate resolutions.Ensure committee materials are reviewed by executive management (and other appropriate parties).Ensuring that the Board members comply with the procedures approved by the Board.Notifying the Board members of the dates of the Board’s meetings within sufficient time prior to the date specified for the meeting.Presenting the draft minutes to the Board members to provide their opinions on them before signing the same.Ensuring that the Board members receive, fully and promptly, a copy the minutes of the Board’s meetings as well as the information and documents related to the Company.Coordinating among the Board members.Providing assistance and advice to the Board members.
